Warranty

General Terms and Conditions (GTC)
Status: August 2025
These GTC apply to all contracts, deliveries and other services of [your company name] (hereinafter “Seller”) to
– entrepreneurs within the meaning of Section 1 UGB (B2B)
– consumers within the meaning of Section 1 KSchG (B2C)

A. Special provisions for entrepreneurs (B2B)
1. Scope of application
1.1 Sale exclusively to commercial customers.
1.2 Deviating terms and conditions of the Buyer shall only apply if they have been confirmed in writing.
2 Conclusion of contract
2.1 Offers are subject to change.
2.2 The contract shall only be concluded upon written confirmation or delivery.
3. delivery & dispatch
3.1 Delivery dates are non-binding unless firmly agreed.
3.2 Shipping costs are calculated according to size, weight and delivery time and are only added after receipt of the order.
3.3 Transfer of risk upon handover to the carrier (§ 429 ABGB).
4. warranty
4.1 Warranty obligation for defects upon delivery (§§ 922 ff. ABGB).
4.2 Time limit for new goods: 6 months from delivery.
4.3 For used goods: Warranty excluded.
4.4 Not included:
– normal wear and tear,
– damage caused by improper use or installation,
– subsequent external influences,
– maintenance, cleaning, adjustment, consumables.
4.5 Obligation to give notice of defects: Report defects in writing immediately, at the latest 7 days after delivery. Hidden defects immediately after discovery (§ 377 UGB).
5. Liability
– Liability for slight negligence excluded.
– No liability for consequential damages or loss of profit.
– Product Liability Act remains unaffected.
6Assembly / Service
– Seller is a pure dealer.
– Assembly, commissioning, maintenance only if agreed in writing.
– Buyer must check and test goods before passing them on to third parties.
7. Retention of title
Until full payment has been made.
8. Prices & Payment
– Net prices plus VAT. VAT. and shipping.
– Payment term: 10 days net, unless otherwise agreed.
9. Place of jurisdiction & law
– Exclusively Austrian law, UN sales law excluded.
– Place of jurisdiction: competent court at the registered office of the seller.

B. Special regulations for consumers (B2C)
1. Scope of application
1.1 Sale to natural persons for private purposes.
1.2 Deviating terms and conditions of the customer shall only apply if confirmed in writing.
2 Conclusion of contract
2.1 Offers are subject to change.
2.2 The contract is concluded upon order confirmation or delivery.
3. delivery & dispatch
3.1 Delivery dates are non-binding unless firmly agreed.
3.2 Shipping costs shown in the order process.
3.3 Transfer of risk upon handover to the customer.
4. warranty
4.1 Statutory warranty 24 months from delivery (§§ 922 ff. ABGB, § 9 KSchG).
4.2 In the first 12 months: Reversal of the burden of proof in favor of the customer.
4.3 Not covered: normal wear and tear, damage due to incorrect use.
5. right of withdrawal (distance selling)
5.1 14 days withdrawal period from receipt of the goods.
5.2 The customer must declare the revocation in writing.
5.3 Sample form is provided.
5.4 Return costs shall be borne by the customer.
6. prices & payment
– prices incl. VAT plus. Shipping.
– Payment within 10 days without deduction.
7. Retention of title
Until full payment.
8. Liability
– Liability according to law, exclusion only for slight negligence in case of property damage.
– No limitation for personal injury, gross negligence, product liability.
9. Place of jurisdiction & law
– Austrian law, UN sales law excluded.
– Legal action by the customer: Court at the customer’s place of residence (§ 14 KSchG).

C. Common provisions
– Severability clause: Ineffective provisions shall be replaced by effective provisions that come closest to the economic purpose.
